Open only to legal residents of the United States and the United Kingdom, 18 years of age or older. Employees,
officers, directors and independent contractors (including endorsers/influencers) of Sponsor, Here We Flo Ltd., their respective parent companies, subsidiaries, affiliates, or of any agencies/entities involved in the development, production or administration of the JanSport x Here We Flo Social Sweepstakes (hereafter, “Sweepstakes”) are not eligible to enter or win a prize. Sweepstakes is offered only in the United States and United Kingdom. Void where prohibited by law.

1. SWEEPSTAKES PERIOD: 

June 21, 2026 at 12:01 AM MT/7:01 AM BST
to June 29, 2026 at 11:59 PM MT/June 30, 2026 at 6:59 AM BST.

1. HOW TO ENTER:

(a) 
 Log into your public Instagram account, follow the official JanSport Instagram
account, www.instagram.com/jansport (@jansport) and the official Here We Flo Instagram account, www.instagram.com/hereweflo (@hereweflo), if you do not already.

(b) 
Share the post to your Instagram Story and tag both @hereweflo and @jansport in your post with the hashtag #JanSportandhereweflogiveaway

(c) 
Comment on the Sweepstakes post by tagging two friends; who are personally known to you; legal U.S. or U.K. residents, 18 years of age or older (and otherwise eligible as set forth above)†

†For clarity, all eligibility conditions applicable to entrant also apply to tagged
friends.

Following all of the steps above will result in receipt of one (1) entry in the Sweepstakes for entrant.

(d)  By participating in this
Sweepstakes, you agree to abide by and be bound by these Official Rules and the
decisions of Sponsor, which are final and binding in all respects and not
subject to appeal.

3.     ENTRY RESTRICTIONS: TAG A FRIEND

(a)  It is strongly recommended that you secure the consent of a friend before tagging them in your comment and posting the comment.

(b)  No Sweepstakes entry will be received if comment does not tag two (2) friends.

(c)  
If more than two (2) tagged friends are included in comment, no Sweepstakes entry will be received. 

4.     ADDITIONAL ENTRY RESTRICTIONS:

(a)  A given Instagram account may only be used by one (1) person to participate in the
Sweepstakes as an entrant and/or a tagged friend. In the event of a dispute, the owner of the Instagram account in question, as determined by Sponsor in its sole discretion, will be deemed to be the entrant or the tagged friend. 

(b)  If participating via mobile device: standard message and data rates and/or
wireless Internet access charges may apply when participating in the
Sweepstakes. You may be charged by your wireless carrier in conjunction with Sweepstakes activity. Be sure to check
your wireless carrier's pricing plan before participating in the Sweepstakes
via mobile device. Wireless Internet access may not be available in all areas.

(c)  If additional content is included as part of comment, no Sweepstakes entry will be received if Sponsor determines in its sole discretion that the additional
content:

· violates or infringes upon the rights of any party (including
copyright, trademark, right of privacy, right of publicity);

· is inappropriate, obscene, sexually explicit, hateful or
otherwise unfit for publication;

· advocates the use of alcohol or drugs, acts of violence or
illegal behavior; or

· disparages or damages the goodwill and/or business reputation
of the JanSport  brand or of the Here We
Flo brand.

(d)  In posting additional content as part of a comment:

· while you at all times own such additional content, you grant to Sponsor and its designees (including Here We Flo
Ltd.) the non-exclusive, , worldwide, royalty-free, transferable, sublicensable
right and license to use, perform, exhibit, reproduce and/or otherwise exploit
the additional content in conjunction with offering the Sweepstakes in any
manner and in any and all distribution channels, venues or media now known or
hereafter devised, without further notice or any compensation. Such grant of
rights will automatically expire within six (6) months after the end of the
Sweepstakes Period. The preceding grant of rights is subject to any rights
retained by Meta Platforms, Inc. in its Instagram social media platform;

·  you further waive any “Moral Rights of Authors” or similar natural rights of ownership you may have
in the additional content and agree, upon the request of Sponsor and/or its
designees (including Here We Flo Ltd.) and without compensation of any kind, to
execute any additional documents so as to effect, record or perfect the grant
of rights contemplated by this subsection;

·      
you understand and agree that Sponsor and its designees (including Here We Flo Ltd.) have wide
access to ideas, stories and other literary/artistic materials submitted to them from outside sources or being developed by their own employees and that such ideas/stories/literary/artistic materials may be competitive with, similar to (or even identical to) the additional content and that Sponsor and its designees (including Here We Flo Ltd.)  shall have no liability under any
legal theory to you or any third party in conjunction therewith;

· you understand and agree that Sponsor
and its designees (including Here We Flo Ltd.) do not have any duty of confidentiality or other fiduciary duty to you with regard to the additional content.

 ADDITIONAL CONTENT REPRESENTS
SOLELY THE VIEWS/OPINIONS OF THE APPLICABLE PROSPECTIVE ENTRANT (AND POSSIBLY THEIR TAGGED FRIENDS) BUT DOES NOT REFLECT THE VIEWS/OPINIONS OF SPONSOR OR ITS
DESIGNEES (INCLUDING HERE WE FLO LTD.) IN ANY MANNER. SPONSOR AND ITS DESIGNEES (INCLUDING HERE WE FLO LTD.)  DISCLAIM ANY AND ALL LIABILITY IN CONJUNCTION WITH ANY SUCH ADDITIONAL CONTENT. NEITHER SPONSOR NOR ITS DESIGNEES (INCLUDING HERE WE FLO LTD.)
 WILL EDIT OR MODIFY ADDITIONAL CONTENT IN CONJUNCTION WITH THE SWEEPSTAKES.

5.     WINNER DETERMINATION:

(a)  Five (5) winners will be
selected in a random drawing from among all eligible entries received during
the Sweepstakes Period. Selection of winning entry results in entrant who
submitted that entry in such entry winning the prize.

(b)  Sponsor will conduct the random
drawing on or about June 30, 2026. 

(c)   Should a comment include
additional content, provided that such additional content complies with these
Official Rules (including Rule 4d above), such content will not be taken into
account in the winner selection procedure.

6. WINNER NOTIFICATION:  

(a)  Winner will be notified via direct message from @jansport.

(b)  As a condition of prize award, winner may be required to execute a Declaration of Eligibility, Liability Release and a Publicity Release (where legal) to be
returned within indicated time period.

(C) IT IS THE SOLE RESPONSIBILITY OF PARTICIPANTTO CONFIGURE THEIR PRIVACY SETTINGS SO AS
TO ACCEPT DIRECT MESSAGES FROM @JANSPORT. IF, FOR ANY REASON, WINNER CANNOT BE CONTACTED, FAILS TO TIMELY RESPOND TO DIRECT MESSAGE, FAILS TO TIMELY
SIGN/RETURN DECLARATION OF ELIGIBILITY, LIABILITY RELEASE AND PUBLICITY RELEASE (WHERE LEGAL) [IF APPLICABLE] OR IF PRIZE CANNOT BE DELIVERED, THE PRIZE WILL
BE FORFEITED AND AN ALTERNATE WINNER MAY BE SELECTED FROM AMONG ALL REMAINING
ELIGIBLE ENTRIES RECEIVED AS SET FORTH ABOVE.

7.     PRIZES AND ODDS OF WINNING:

Prize: Five winners will
each receive a bundle comprised of the following: Seven (7) Combo Pads, Four
(4) Tampon Tubs, Seven (7) Liners, One (1) Clear Waistpack, One (1) Clear
Crossbody - Approximate Retail Value per prize: USD $192.22. (Approximately
£142.33.)

Odds of winning depend on
the number of eligible entries received during the Sweepstakes Period

8. ADDITIONAL PRIZE RESTRICTIONS:

(a)  Prize will only be shipped to winner at a street address in the (50) United States,  the District of Columbia, England, Scotland, Wales or Northern Ireland. Sponsor may award the prize to a winner via multiple shipments.

(b)  Prize must be accepted by winner as awarded. Without limitation, the prize must be accepted in its entirety or not at all. If winner declines prize in whole or in
part for any reason, no alternate prize or compensation will be awarded.

(c)  Prize is not transferable.

(d)  No prize substitution permitted except by Sponsor due to unavailability of prize (or any element thereof) for any reason and only then for prize of equal or greater value.  Prize is NOT redeemable or exchangeable by winner for cash.

(e)  Applicable taxes on prize
and unspecified expenses related to acceptance/use of prize are winner’s sole
responsibility.

(f)    By accepting prize, where
legal, winner agrees to the use of his/her name and image for advertising/trade/publicity purposes by Sponsor and its designees (including Here We Flo Ltd.) without further compensation or notice. If winner is a resident of the United Kingdom, Sponsor and its designees (including Here We Flo Ltd.) will use the winner’s name and image for the sole purpose of identifying such person as a winner in the Sweepstakes and such use shall last for the Sweepstakes Period and one (1) year thereafter.

(g)    JanSport
does not make any representation, warranty or guarantee of any kind regarding
the prize.

9.     ADDITIONAL CONDITIONS OF PARTICIPATION:

(a)  By participating either as an entrant or the tagged friend of an entrant, you release and agree to hold
harmless Sponsor, Here We Flo Ltd., their respective parent companies, affiliates, subsidiaries, and the directors,
officers, employees and agents of any of the above organizations, as well as
Meta Platforms, Inc. from any and all liability arising from the Sweepstakes or
the receipt, acceptance, use or misuse of prize. For U.K. residents, the
preceding is subject to paragraph (b) below, including in relation to any “Non-Excludable
Guarantees” (as defined below) and as long as this is not prohibited by
mandatory local law or public policy.

(b)  For U.K. residents:

(i)  Nothing in these Official Rules excludes or modifies or purports to limit, exclude or modify any
statutory consumer guarantees or any implied condition or warranty the
exclusion of which from these Official Rules would contravene any statute or
cause any part of these Official Rules to be void (“Non-Excludable Guarantees”)
or any other liabilities which shall not be excluded under mandatory local law
or public policy. Subject to the limitations in the preceding sentence, the
Sponsor excludes from these Official Rules all conditions, warranties and terms
implied by statute, general law or custom.

(ii)            
Notwithstanding
anything to the contrary, nothing in these Official Rules shall exclude or
limit a party’s liability for death or personal injury resulting from that
party’s negligence, for fraud or fraudulent misrepresentation or for any other
matter where liability may not as a matter of law be limited.

(c)   Sponsor is
not responsible for late, lost, illegible/garbled, incomplete,inaccessible,
corrupted, damaged or misdirected entries or winner notifications, all of which
are void. Sponsor is also not responsible for programming, electronic,
technological, telephonic, network or other malfunction, error or failure which
in any way affects or interferes with the operation of the Sweepstakes; or for entries
or winner notifications not timely received or not received in a usable format
or accessible due to filtering by or other operation of Instagram (or any other
cause). For U.K. residents, the preceding expressly excludes any liability in
relation to a Non-Excludable Guarantee or any other liabilities which shall not
be excluded under mandatory local law or public policy.

(d)  If Sweepstakes cannot be
conducted as originally planned due to any cause beyond Sponsor’s reasonable control
(e.g., computer virus, act of fraud, natural disaster), Sponsor may
cancel/suspend/modify Sweepstakes and select the winners via random drawing as
set forth in Rule 5 above from among all eligible entries received prior to
and/or after (as appropriate) the action taken by Sponsor or otherwise determine
the winners in a manner determined by Sponsor in its sole discretion to be
fair, appropriate and consistent with these Official Rules; notice of such
action by Sponsor will be posted on @jansport and/or @hereweflo.

(e)  Tampering with Sweepstakes or
violation of these Official Rules will result in disqualification; but,
disqualification shall not represent the sole remedy available to Sponsor.

(f)   
Sponsor’s failure to enforce any provision of these Rules in a
given instance is NOT a waiver of such provision.

(g)  For U.S. residents, any
dispute or claim regarding the Sweepstakes will be resolved pursuant to the internal,
substantive law of Colorado. Any such dispute/claim must be brought
individually (NOT as part of a class action) in U.S. federal or state court in Colorado,
with recovery being limited to one’s actual costs in participating in the
Sweepstakes (if any) with all damages or other forms of recovery being
expressly waived. For U.K. residents, any dispute or claim regarding the
Sweepstakes will be resolved pursuant to the internal, substantive law of the
United Kingdom. Any such dispute/claim must be brought individually (NOT as
part of a class action) in a court of competent jurisdiction in the United
Kingdom, with recovery being limited to one’s actual costs in participating in
the Sweepstakes (if any) with all damages or other forms of recovery being
expressly waived except to the extent that the law of the United Kingdom
provides otherwise.

(h)  If any provision of these
Official Rules is determined by a court of competent jurisdiction to be
invalid, illegal or unenforceable, it shall be replaced by a substitute
provision that most closely approximates the original intent of Sponsor and is
valid, legal and enforceable. The invalidity/illegality/unenforceability of a
given provision shall not affect the remainder of these Official Rules.

For names of winners (first
name, last initial; country), send an e-mail request to jansportsocial@vfc.com
with JanSport x Here we Flo Winners in the subject line. Winners’ list will be
available after July 1, 2026; winners’ list request must be received by July
8, 2026. Prior to accepting a prize, an U.K. resident may object to their
first name, last initial and country being included on a winners’ list. In such
case, this information may still be provided to the UK’s Advertising Standards
Authority or other relevant regulators on request.
